Why 70% of M&A deals fail on culture, and where the signal lives between pulse surveys

Of every ten mergers or acquisitions closed this year, seven will miss their stated synergy targets. That is not a contrarian take. It is McKinsey's own number, repeated across two decades of post-deal research, and it has barely moved.

The consensus on why is tighter than the consensus on the number. Seventy-four percent of executives surveyed by McKinsey cite cultural integration as a decisive factor in whether a deal lands or dies. The deal model does not fail. The people inside the two companies fail to merge into one company.

The interesting question is not whether culture matters. Everyone knows it does. The interesting question is why companies still discover culture problems six months into integration, when the playbooks and warning signs have been in the open for twenty years.

The timing gap between what the survey sees and what is happening

Most acquirers run post-merger listening on a 30 / 90 / 180-day pulse survey cadence. Perceptyx, the incumbent in the space, has built its product around it. The honesty problem, magnified

Post-merger is the single worst environment to run a voluntary survey. The workforce has just been told, depending on the communications strategy, either that everything will change or that nothing will change. Both are obviously untrue. Employees know the exercise they are being asked to participate in.

Response rates fall. The employees who doanswer are systematically the most engaged and the most politically careful. EY's integration studies put first-year turnover among acquired employees at forty-seven percent, rising to seventy-five percent by year three. An MIT Sloan Management Review analysis of acquired-company employees found thirty-four percent departed in the first twelve months versus a twelve percent baseline.

The direction is identical: acquired workforces leave two to three times faster than non-acquired ones, and the people who leave first are the ones carrying institutional knowledge the deal model priced in.

This is why the Deloitte integration window is six to eighteen months, not thirty days. The deal thesis depends on the people you bought still being there when you go to realize the synergy. A survey that sees them on day thirty and day ninety cannot tell you whether they are still there on day one hundred forty.

Where the signal actually lives

The friction that kills a merger is structurally hard to survey because it is not a feeling. It is a pattern of interaction.

  • Cross-entity friction. The acquired team and the acquirer team end up in the same channel after reorg. Decision cycles slow. Thread length doubles. Messages from one entity get acknowledged but not answered. None of that is on a survey.
  • Quiet disengagement. The most experienced acquired employee stops volunteering opinions in engineering reviews about six weeks before the resignation letter. The channel they used to drive goes silent. Silence is legible in chat. It is invisible in a pulse.
  • Cultural sorting. The acquired side starts their own back-channel Slack. The acquirer side stops inviting them to architecture conversations. Two companies persist inside the org chart of one. Nobody writes that on a survey because nobody is asked.

These are not subtle signals. They are extremely loud signals. They just happen in a medium that most post-merger listening products were not built to read.
